1. Introduction

Welcome to DIGIADS. These Terms and Conditions (“Terms”) govern your access to and use of our website, platforms, applications, messaging services, and digital communication solutions, including WhatsApp Official Business API, Rich Communication Services (RCS), SMS, campaign automation, and related services (collectively, the “Services”).

DIGIADS is a digital communication and advertising solutions provider operating in India. By accessing, registering, or using our Services, you agree to be legally bound by these Terms, our Privacy Policy, and any additional policies referenced herein. If you do not agree with these Terms, you must not use our Services.

These Terms are drafted in accordance with applicable Indian laws, including the Information Technology Act, 2000 and rules made thereunder.

2. Definitions

“Company,” “We,” “Us,” “Our” refers to DIGIADS.
“User,” “Client,” “You” refers to any individual or entity using our Services.
“Platform” means our website, dashboards, APIs, tools, and messaging infrastructure.
“WhatsApp Official API” means Meta-approved WhatsApp Business API services.
“RCS” refers to Rich Communication Services enabled via telecom operators.
“Content” means messages, templates, media, text, images, and data submitted by Users.
“Subscription” means a paid service plan offered by DIGIADS.

3. Acceptance of Terms

By accessing or using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you are using the Services on behalf of an organization, you confirm that you have the authority to bind such organization to these Terms.

4. Description of Services

DIGIADS provides cloud-based digital communication and advertising solutions, including but not limited to:

WhatsApp Business API onboarding and messaging
RCS business messaging services
Campaign automation and analytics
Template creation and approval assistance
Customer engagement and notification services
Transactional and promotional messaging (subject to consent)

We act as a technology and messaging facilitation provider and do not guarantee message delivery, conversions, or business outcomes.

5. Eligibility

To use our Services, you must:

Be at least 18 years of age
Be legally capable of entering a binding contract under Indian law
Use the Services only for lawful business purposes

DIGIADS reserves the right to refuse service to any User at its discretion.

6. Account Registration

Users may be required to create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account.

DIGIADS shall not be liable for any loss or damage arising from unauthorized access due to User negligence.

7. User Responsibilities

You agree that you shall:

Use the Services only for lawful and permitted purposes
Obtain explicit opt-in consent from message recipients
Comply with Meta WhatsApp Business Policies and RCS guidelines
Not send spam, misleading, abusive, or prohibited content
Ensure accuracy of message content and recipient data

Any violation may result in immediate suspension or termination of Services.

8. Payment & Billing Terms

Certain Services are offered on a paid subscription basis. Users agree to pay all applicable fees as per the selected plan. Payments are non-refundable unless explicitly stated.

DIGIADS reserves the right to revise pricing with prior notice.

9. Subscription Renewal & Termination

Subscriptions may auto-renew unless cancelled before the renewal date. DIGIADS may suspend or terminate Services without notice if:

Payment obligations are not met
Policies are violated
Required compliance documentation is not maintained

Upon termination, access to Services will cease immediately.

10. Use of WhatsApp Official API & RCS

Users acknowledge that WhatsApp and RCS services are governed by third-party platforms (Meta, telecom operators). DIGIADS does not control their systems, approvals, or downtimes.

Template approvals, quality ratings, and account status are subject to Meta and operator discretion.

11. Message Delivery & Compliance Policy

DIGIADS does not guarantee message delivery, read rates, or engagement metrics. Delivery depends on multiple external factors including network availability, platform policies, and recipient device settings.

Users must comply with TRAI, DoT, and anti-spam regulations applicable in India.

12. Intellectual Property Rights

All platform software, trademarks, branding, and proprietary materials belong exclusively to DIGIADS. Users are granted a limited, non-exclusive, revocable license to use the Services.

No rights are transferred except as expressly stated.

13. Confidentiality

Both parties agree to maintain confidentiality of business, technical, and commercial information exchanged during the course of service usage.

14. Disclaimer of Warranties

Services are provided on an “as is” and “as available” basis. DIGIADS disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.

15. Limitation of Liability

To the maximum extent permitted by law, DIGIADS shall not be liable for indirect, incidental, consequential, or punitive damages. Our total liability shall not exceed the amount paid by the User in the preceding three months.

16. Indemnification

Users agree to indemnify and hold harmless DIGIADS against any claims, penalties, or losses arising from misuse of the Services or violation of applicable laws.

17. Governing Law (India)

These Terms shall be governed by and construed in accordance with the laws of India. Courts in Maharashtra shall have exclusive jurisdiction.

18. Changes to Terms

DIGIADS reserves the right to modify these Terms at any time. Continued use of the Services constitutes acceptance of updated Terms.
